ARTICLE 1 – Purpose and Scope
The company FLOS LEARNING PARTNER (hereinafter referred to as “FLOS LEARNING” or “the Company“) operates a digital platform (hereinafter “the Platform”), accessible from the website https://www.floslearning.com/ (hereinafter “the Site”), through which it offers digital educational services, including in particular online courses and academic support modules for students in primary and secondary education (middle and high school), hereinafter the “Services“.
The Services are intended for non-professional end users, acting as consumers within the meaning of the regulations applicable in their country of residence (hereinafter the “Client” or the “Consumer“).
FLOS LEARNING PARTNER and the Consumer are hereinafter referred to together or individually as the “Party” or the “Parties“.
These General Terms and Conditions of Sale and Use (hereinafter the “General Terms“) define the contractual terms and conditions applicable to the access and use of the Site and the Platform, as well as the provision of Services to Consumers, regardless of their nationality, place of residence, or the country from which they access the Site.
The General Terms express the entire agreement between the Parties and prevail over any prior communication, whether written or oral, having the same purpose, including any other conditions, particularly those that may appear in third-party distribution channels or on other platforms.
They are accessible at any time via a hypertext link located at the bottom of the Site and Platform pages, and can be printed or saved by the User.
These General Terms may be supplemented or modified, where applicable, by special conditions applicable to certain Services (special offers, subscriptions, personalized programs, etc.), which form an integral part of the contractual agreement and prevail over these terms in the event of a contradiction.
ARTICLE 2 – Platform Operator
This website www.floslearning.com is operated by FLOS LEARNING PARTNER,

- Registered in the Sheridan Wyoming RCS under number 2025–001627676, with its registered office located at 30 N Gould St Ste Sheridan, WY 82801.
FLOS LEARNING manages the website and the presentation of its educational services.
Courses and educational content are provided via an external online learning platform, access to which is reserved for registered users.
FLOS LEARNING remains responsible for the educational content offered, but the technical hosting of the platform is provided by a third-party provider.
FLOS LEARNING can be contacted at the following coordinates:

ARTICLE 3 – Access to the Platform and Acceptance of the General Terms
3.1 Access to the Platform
Access to the Platform is open to any natural person with the legal capacity required to contract under the legislation of their country of residence.
As such, access is reserved for:
- either persons at least 18 years of age, or who have reached the legal age of majority applicable in their jurisdiction, and who have full legal capacity to enter into a contract under these General Terms.
In this case, the User agrees to provide accurate information for identification purposes. - or minors, provided they have obtained the prior authorization of their legal representative (parent, guardian, or competent authority).
The legal representative will be fully responsible for the use of the Platform by the minor, as well as for compliance with these General Terms.
Acceptance of these General Terms is an essential prerequisite for accessing and using all or part of the Services offered via the Platform.
3.2 Platform and Services Reserved for Individuals
The Platform and Services offered by FLOS LEARNING are exclusively intended for private, personal, and non-professional use.
They are designed for individuals, particularly students, their parents, or legal representatives, wishing to access educational programs, supplementary educational resources, or academic support services.
The use of the Services is strictly prohibited for schools, training organizations, education professionals, or companies, unless prior, express, and written authorization is granted by FLOS LEARNING. Any use in violation of this restriction may result in immediate termination of access and, where applicable, legal action for breach of contract and intellectual property infringement.
3.3 Acceptance of the General Terms
Acceptance of these General Terms constitutes a mandatory prerequisite for any registration and for any access to the Services.
This acceptance is formalized by a checkbox during the online registration process, preceded by the explicit statement:
“I acknowledge that I have read and accepted the General Terms and Conditions of Sale and Use”.
This action constitutes full, complete, informed, and unreserved contractual acceptance, within the meaning of international electronic contract law (EU Directive 2000/31/EC, UETA – Uniform Electronic Transactions Act in the United States, etc.).
Any registration made conditionally, with reservations, or in an incomplete manner will be considered null and void, without the possibility of accessing the Services.
3.4 Acceptance through Navigation
Any person accessing or browsing the Site is deemed to have read these General Terms and to accept them without reservation, even if they do not complete a full registration.
If a User does not agree to be contractually bound by these General Terms, they must not access the Site or use the Services offered therein.
This rule applies uniformly, regardless of the User’s geographic location and independent of their national legal system.
3.5 Access Reserved for the FLOS LEARNING Community
Access to the Platform is strictly reserved for duly identified members of the FLOS LEARNING educational community, namely:
- Parents, acting as legal representatives of the registered Students,
- Students, children or adolescents benefiting from the educational Services offered,
- Teachers, affiliated professionals, mandated or contractually bound to FLOS LEARNING to provide courses within a supervised relationship.
3.6 Access Restrictions
The Platform is not open to the general public, nor to teachers or trainers not mandated by FLOS LEARNING.
Any attempt to access or use the Platform by a person or entity outside this community, without explicit authorization, may result in immediate suspension or deletion of the account, without notice, and where applicable, prosecution for fraudulent access.
3.7 Registration and Access Procedures
Access to the Services is subject to manual validation of the registration by the FLOS LEARNING team.
The User becomes a “Registered User” (hereinafter “the User”) only after explicit confirmation of their admission to the Platform.
No free registration, self-subscription, or temporary access is authorized outside of this strictly defined framework.
Any automated access, circumvention of validation mechanisms, or fictitious registration is formally prohibited.
3.8 Registration Procedures on the Platform
To access the Services, the User must:
- complete the registration form accessible via the FLOS LEARNING Site,
- be subject to express validation of their file by the FLOS LEARNING team, following an eligibility verification process.
Validated registration automatically leads to the creation of a secure personal account (hereinafter the “Account“), allowing the User to access a dedicated Personal Space. This space provides access to the Services in digital form, under the conditions provided by these General Terms.
The User agrees to:
- provide accurate, complete, up-to-date, and verifiable personal information,
- update it in real-time via their Personal Space in the event of any changes.
The information provided during registration is deemed to be authentic between the Parties. It constitutes proof of the digital identity of the User and serves as a contractual commitment from the moment the file is validated.
⚠️ No access via third-party platforms, social networks, aggregators, or external connection systems is authorized.
Access to the Platform is strictly personal, non-transferable, and reserved for Users duly registered and validated by FLOS LEARNING.
3.9 Security and Personal Use of the Account
The User can access their Personal Space at any time by entering their personal login credentials (username and password).
The User agrees to:
- use their Account personally,
- not share their credentials, nor allow a third party to access the Services in their name or on their behalf.
They are fully responsible for the confidentiality of their credentials and for any use made of them, even without their knowledge.
In the event of fraudulent or suspected access, the User agrees to immediately inform FLOS LEARNING via the contact details mentioned in Article 2. The company then reserves the right to take all necessary security measures, including the temporary or permanent suspension of the Account, without prejudice to any potential legal action.
ARTICLE 4 – Description of Services
FLOS LEARNING offers, through its Platform accessible at www.floslearning.com, a comprehensive range of digital educational services for students from 1st Grade to 12th Grade, regardless of their country of residence.
These Services are designed, developed, and supervised by qualified teachers, selected for their pedagogical skills and their knowledge of national and international educational programs.
4.1 Types of Services Offered
The Services offered by FLOS LEARNING include in particular:
- online courses structured into progressive modules,
- personalized academic support sessions, live or recorded,
- digital educational resources (worksheets, exercises, videos, interactive quizzes, etc.),
- individualized learning paths, designed based on the student’s profile, level, and objectives,
- continuous monitoring and assessment tools, accessible from the Personal Space,
- secure forums or collaborative spaces, allowing exchanges between students, teachers, and parents.
4.2 Teaching Methods
The services are delivered via digital tools compatible with a wide range of devices (computers, tablets, smartphones), in a secure, ergonomic environment that complies with international standards for accessibility and data privacy.
The teaching can be:
- asynchronous, via access to educational content on demand,
- synchronous, in the form of virtual classes, online workshops, or scheduled educational appointments.
FLOS LEARNING agrees to guarantee:
- the pedagogical quality of the content,
- the relevance of the materials with regard to the targeted programs,
- active supervision by education professionals.
4.4 Scalability of the Offer
FLOS LEARNING reserves the right to evolve, enrich, or modify its Services at any time, in order to better meet the educational needs of users or to adapt to regulatory, technological, and educational developments.
These modifications will be brought to the attention of Users by any useful means (notification on the Platform, email, etc.).
ARTICLE 5 – Parent and Student Accounts
As part of the use of the FLOS LEARNING Platform, each User is assigned a distinct personal account, depending on their status. This distinction aims to guarantee access security, personalization of educational services, and compliance with international standards regarding the protection of minors’ data (notably GDPR, COPPA – Children’s Online Privacy Protection Act – and international equivalents).
5.1 The Parent Account
The Parent Account is reserved for legal representatives of minor students. It allows, in particular:
- to consult the student’s educational progress,
- to access administrative information (registrations, invoices, contractual documents),
- to receive official communications from FLOS LEARNING (monitoring, educational notifications, legal updates),
- to exercise parental rights related to the management of the Student Account (modification, withdrawal, opposition, supervision of connection time, etc.).
The Parent Account does not provide access to the interactive educational content intended for the student, but constitutes the main interface for family monitoring and management.
5.2 The Student Account
The Student Account is personally assigned to each registered student, regardless of their age or level. It allows:
- access to online courses, exercises, assessments, and educational content adapted to their profile,
- participation in virtual classes, forums, or collaborative activities,
- tracking of their results, badges, or individualized paths within a secure framework.
Each Student Account is strictly individual and has its own login credentials, distinct from those of the Parent Account.
5.3 Confidentiality and Use of Accounts
- Access to the Services is strictly personal: login credentials (email address, password, or access code) must not be shared, transferred, or used by a third party.
- The student and the parent must log in via their respective accounts. Any cross-use or impersonal use constitutes a violation of these General Terms.
- FLOS LEARNING reserves the right to temporarily or permanently suspend access to any account in the event of fraudulent or non-compliant use.
ARTICLE 6 – Financial Conditions
6.1 Price of Services
The Services offered by FLOS LEARNING are invoiced according to the rates in effect at the time of subscription, as displayed on the Platform or communicated contractually.
Prices are expressed:
- in euros (€) for clients residing in Europe,
- or in US dollars (USD $) for clients located in the United States and relevant areas,
- or in any other applicable currency, depending on the User’s geographic location and available payment options.
The prices indicated are inclusive of all taxes (TTC) where VAT or a local tax applies, in accordance with the tax legislation of the Consumer’s country of residence or the location of the digital service.
FLOS LEARNING reserves the right to modify its prices at any time, subject to prior notification to registered Users. Price changes do not apply retroactively.
6.2 Payment Methods
Payment for the Services is made:
- by credit card, via a secure payment gateway,
- or via any other means offered on the Platform (e.g., SEPA transfer, Apple Pay, etc.).
Payments are secure and encrypted in accordance with international PCI-DSS standards. No card numbers are stored by FLOS LEARNING.
Access to the Services is contingent upon effective validation of payment.
In the event of payment failure, rejection, or non-payment, FLOS LEARNING reserves the right:
- to suspend access to the relevant Services,
- to follow up with the User,
- and, where applicable, to initiate a collection procedure, including via mandated third parties.
6.3 Invoicing
An electronic invoice is generated for each payment and made available in the User’s Personal Space. This invoice mentions:
- details of the subscribed Service,
- the price including tax,
- the currency,
- any applicable taxes,
- the transaction date and the payment method used.
6.4 Promotional Offers and Free Trials
FLOS LEARNING may occasionally offer:
- free trials, limited in time or to basic features,
- promotional codes or discounts subject to specific conditions.
These offers do not entitle the user to any refund or conversion into cash and cannot be combined, unless otherwise stated.
6.5. Delays and Payment Incidents
The User is informed and expressly accepts that any payment delay of part or all of a sum due on its due date will automatically result, without prejudice to the provisions of Article 10 and without prior formal notice, in the following consequences:
- Acceleration of payment: All sums due will become immediately payable, whether they relate to subscriptions or one-off services.
- Suspension of Services: Current Services will be immediately suspended until the User has paid all sums due. This suspension may include, without limitation, access to courses, educational resources, forums, and any other Service provided by FLOS LEARNING.
- Collection fees: FLOS LEARNING reserves the right to apply collection fees, within the limits authorized by applicable law, in the event of prolonged non-payment. These fees will be displayed on the Platform and will be subject to prior notification.
Payment reminder: In the event of non-payment, FLOS LEARNING will send reminders by email, SMS, or any other available electronic communication means. If no action is taken by the User within the deadlines, the suspension may be extended and result in additional fees.
ARTICLE 7 – Anti-Fraud Measures
FLOS LEARNING reserves the right to suspend any suspicious transaction or cancel access to a Service in the event of:
- suspicion of fraud,
- misuse of promotional codes,
- unauthorized use of payment methods.
Any fraudulent act may result in civil and criminal prosecution in accordance with applicable laws.
8. RIGHT OF WITHDRAWAL
8.1 Clients Residing in the EU
In accordance with Directive 2011/83/EU, consumer clients have a period of 14 days to withdraw, unless the performance of the service has begun with their express agreement and waiver of the right of withdrawal.
8.2 Clients Outside the EU
Refund conditions are specified in our refund policy, accessible on the Site. No refund will be made once access to the content has been activated, except in exceptional cases.
ARTICLE 9 – FLOS LEARNING Data
The User expressly acknowledges and accepts:
Platform data: Data collected on the Site as well as on FLOS LEARNING’s computer equipment (connection logs, usage history, etc.) serve as proof of the reality of the operations occurring within the framework of these terms. This data constitutes the only mode of proof admitted between the parties, particularly for the calculation of sums due to FLOS LEARNING.
Protection of personal data: FLOS LEARNING agrees to protect the personal data of Users in accordance with applicable laws and regulations, such as the General Data Protection Regulation (GDPR) for the European Union, the California Consumer Privacy Act (CCPA) for users residing in California (USA), as well as any other relevant legislation in the jurisdictions of application. This information will be collected and processed in compliance with the principles of transparency, proportionality, and security.
Right of access, rectification, and deletion: In accordance with applicable legislation, the User has a right of access, rectification, deletion, data portability, and opposition to their processing for legitimate reasons. The User may exercise these rights at any time by sending a request by email to the following address: contact@floslearning.com. For more information, consult our Privacy Policy.
ARTICLE 10 – Obligations of the User
Without prejudice to other obligations provided herein, the User agrees to respect the following obligations:
Compliance with laws and regulations: The User agrees, in their use of the Services, to comply with all laws and regulations in effect, including applicable international regulations, and not to infringe upon the rights of third parties or public order. They also agree to comply with personal data protection laws which may vary depending on their residence (e.g., GDPR in Europe, CCPA in California, etc.).
Responsibility for use: The User acknowledges having read on the Site the characteristics and constraints, particularly technical ones, of the Services offered by FLOS LEARNING. They are solely responsible for their use of the Services and the consequences resulting therefrom.
Personal use of the Services: The User agrees to make strictly personal use of the Services. They are prohibited from assigning, granting, transferring, or sharing their rights or obligations under these terms to a third party, whether free of charge or for a fee, without the prior written consent of FLOS LEARNING.
Provision of information: The User agrees to provide FLOS LEARNING with all information necessary to ensure the proper execution of the Services. More generally, the User agrees to cooperate actively with FLOS LEARNING with the objective of guaranteeing a service consistent with what was agreed upon.
Nature of the Services: The User acknowledges that the Services offered by FLOS LEARNING constitute a supplementary solution for learning and school revision, but that they do not substitute for traditional means of education or school support. These Services can in no case replace face-to-face interactions with a qualified teacher or direct academic support.
Internet connection: The User is informed that access to and quality of the Services require a stable and functional Internet connection. They are solely responsible for the maintenance of this connection and their equipment. The quality of the Services depends directly on the quality of the User’s Internet connection.
Specific prohibitions: It is strictly prohibited for the User to:
- Misuse the Services for purposes other than those for which they were designed,
- Copy, modify, or divert for their own benefit or that of third parties any concept, technology, software, or other element of the FLOS LEARNING Site,
- Engage in behavior likely to interrupt, suspend, slow down, or prevent the continuity of the Services,
- Divert or abuse the system resources of the Site,
- Infringe upon the financial, commercial, or moral rights of FLOS LEARNING.
ARTICLE 11 – Sanctions for Breaches / Termination
In the event of a breach of any provision of these General Terms and Conditions or of any violation of applicable laws and regulations, FLOS LEARNING reserves the right to take any appropriate measure to put an end to the violation and preserve the integrity of the Platform.
Breach of essential obligations: If the User fails to comply with an essential obligation arising from these General Terms and Conditions, FLOS LEARNING reserves the right to terminate their access to all or part of the Services, with immediate effect, by letter or email. Termination will take effect upon sending this notice. This termination will automatically result in the deletion of the User’s Account, without prejudice to any other possible consequences under these General Terms and Conditions.
Temporary suspension: Depending on the seriousness of the breach, FLOS LEARNING may also choose to temporarily suspend access to the Services, with or without prior notice, until the User complies with the required obligations or provides the necessary information.
Reactivation subject to conditions: In certain cases, FLOS LEARNING may offer the User the possibility to reactivate their account, provided that they have met the regularization or compliance conditions imposed by FLOS LEARNING.
Additional sanctions: FLOS LEARNING also reserves the right to apply additional sanctions, such as fines or access restrictions, if the User continues to violate the General Terms and Conditions after an initial formal notice. These sanctions may be specific depending on the jurisdiction and applicable local laws.
ARTICLE 12 – Liability and warranty of FLOS LEARNING
Best-efforts obligation: FLOS LEARNING undertakes to provide the Services with due care and in accordance with professional standards, but it is specified that FLOS LEARNING is subject to a best-efforts obligation and not a result obligation. Consequently, FLOS LEARNING does not guarantee Users’ success or specific performance. The User expressly acknowledges that they are solely responsible for their own learning and results.
Maintenance and service interruptions: FLOS LEARNING undertakes to carry out regular checks to ensure the proper functioning of the Site and the Services. However, FLOS LEARNING reserves the right to temporarily interrupt access to the Platform for technical maintenance. In the event of difficulty or inability to access the Site caused by external circumstances, force majeure, or telecommunications network disruptions, FLOS LEARNING cannot be held liable.
Quality of the Services: Although FLOS LEARNING continually strives to improve the performance and quality of the Services, it does not guarantee that the Services will be entirely free of errors, defects, or faults. Furthermore, since the Services are standardized, FLOS LEARNING does not guarantee that the Services will specifically meet the individual needs of each User.
Limitation of liability: Under no circumstances shall FLOS LEARNING’s liability hereunder exceed the proven direct damages suffered by the User. FLOS LEARNING’s liability shall in no event be incurred for indirect damages, such as data loss, disruption of business activity, or lost profits.
ARTICLE 13 – Intellectual property of FLOS LEARNING
Protection of content and technologies: All elements (texts, images, graphics, logos, trademarks, videos, music, databases, software, and other content) used on the Site or associated with the Services provided by FLOS LEARNING are protected by intellectual property rights, including copyright and database rights, in accordance with the laws in force in the European Union, the United States, and any other applicable jurisdiction.
Prohibition of unauthorized reproduction: Any extraction, reproduction, representation, adaptation, distribution, modification, decompilation, disassembly, or other use of elements protected by FLOS LEARNING’s intellectual property, in whole or in part, without FLOS LEARNING’s prior and express authorization, is strictly prohibited. Any infringement of these rights may give rise to legal proceedings, whether civil or criminal.
Licenses and authorizations: Users may benefit from a limited license, non-exclusive and non-transferable, to use the Services under the conditions set by FLOS LEARNING. No transfer of intellectual property rights is granted through access to the Site or the Services.
ARTICLE 14 – Personal data
Personal data protection policy: FLOS LEARNING respects the confidentiality and protection of Users’ personal data in compliance with applicable international regulations, including the General Data Protection Regulation (GDPR) of the European Union, the California Consumer Privacy Act (CCPA), and any other legislation relating to the protection of personal data.
Privacy policy: The User is invited to review our privacy policy, available on the Site, to understand how their personal data is collected, used, stored, and protected by FLOS LEARNING.
Users’ rights: Under applicable legislation, the User has rights of access, rectification, deletion, portability, restriction of processing, and objection to the use of their personal data. These rights may be exercised by sending a request by email to contact@floslearning.com or by accessing their Personal Area directly on the Platform.
ARTICLE 15 – Advertising
Insertion of promotional messages: FLOS LEARNING reserves the right to insert advertising or promotional messages on its pages, in its communications to Users, as well as in its emails or other digital media. The User accepts the possibility of receiving such messages, subject to their compliance with local advertising regulations.
Targeted advertising: FLOS LEARNING may use anonymized User information to deliver targeted advertising based on their preferences and behavior. However, this will be done with respect for users’ privacy and in accordance with cookie and digital marketing regulations.
Managing advertising preferences: The User may at any time adjust their preferences regarding advertising and direct marketing by accessing their Personal Area or by following the instructions contained in each advertising message or communication.
ARTICLE 16 – Term of the Services, unsubscribe
Subscription-based Services: The Services are offered as a subscription for an indefinite or fixed term, depending on the Offer chosen by the User. Subscription Offers include weekly, monthly, quarterly, semi-annual, and annual options. The subscription begins on the day of subscription.
Cancellation of monthly and weekly subscriptions: For weekly subscription Offers and monthly subscriptions, the User may cancel the subscription at any time via their Personal Area. Cancellation will take effect at the end of the current billing cycle, and the User will continue to have access to the Services until the end of that period.
Annual and long-term subscriptions: Quarterly, semi-annual, and annual subscriptions begin on the subscription date and are for a fixed term. At the end of the Initial Period, the subscription is automatically renewed for a period of the same duration, unless cancelled by the User or by FLOS LEARNING.
Cancellation and automatic renewal: The User may cancel their subscription at any time before the end of the renewal period by accessing their Personal Area. Any subscription period started is due in full, even if cancelled before the end of the period.
Cancellation notice: Cancellation may be carried out at any time before the day before the next subscription period. The User will receive an email confirmation of the effective cancellation of their subscription.
ARTICLE 17 – Amendments to the General Terms and Conditions
Right to amend: FLOS LEARNING reserves the right to amend these General Terms and Conditions at any time, without prior notice. These amendments may be necessary due to changes in the services, applicable legislation, or other external factors.
Notice of amendments: The User will be informed of these amendments at least 1 day before they take effect, by any means of communication deemed appropriate (email, notification on the Platform, etc.). This notice will enable the User to review the changes made.
Application to subscribers: For Users who have subscribed, amendments to the General Terms and Conditions will apply from the next subscription renewal, except for amendments relating to prices, which are governed by the specific article “Price revision”.
Refusal of amendments: A User who does not accept the amended General Terms and Conditions must cancel their subscription and unsubscribe from the Services in accordance with the terms set out in Article 15. If the User continues to use the Services after the amendments take effect, they will be deemed to have accepted the new General Terms and Conditions.
ARTICLE 18 – Language
Applicable language: These General Terms and Conditions are drafted in French. In the event of a translation of the General Terms and Conditions into one or more other languages, the French text shall prevail in the event of any inconsistency or dispute regarding the interpretation of a term or provision.
Language preference: The User agrees that the language for interpreting the General Terms and Conditions shall be French, even in the event of translation into other languages.
ARTICLE 19 – Governing law and jurisdiction
Governing law: These General Terms and Conditions are governed by French law. They are subject to the application of the laws of France, regardless of any conflict-of-laws rules.
Competent jurisdiction: In the event of a dispute concerning the interpretation, validity, or performance of these General Terms and Conditions, the parties expressly agree that the courts of Paris shall have exclusive jurisdiction, unless mandatory provisions provide otherwise.
Dispute resolution: In the event of a dispute, the User may seek an amicable settlement or mediation before initiating legal proceedings. However, if legal action is necessary, the competent jurisdiction shall be as specified above, unless mandatory legal provisions provide otherwise.
